Welcome to Visiblie. These Terms of Service ("Terms") govern your access to and use of the Visiblie platform, website, and services (collectively, the "Service") provided by Visiblie, Inc. ("Visiblie," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

Visiblie provides an AI visibility monitoring and optimization platform that enables users to:

  • Monitor brand mentions and visibility across AI platforms (ChatGPT, Perplexity, Gemini, Claude, and others)
  • Track and analyze AI-generated responses related to their brand
  • Receive visibility scores, analytics, and competitive insights
  • Access AI-powered recommendations to improve brand presence in answer engines
  • Generate reports and export data

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Requirements

You must be at least 18 years old and capable of forming a binding contract to use the Service. Accounts registered by automated methods are not permitted.

4. Subscription and Billing

4.1 Subscription Plans

Access to the Service requires a paid subscription. Details of available plans, features, and pricing are available on our website. We reserve the right to modify pricing with 30 days' notice.

4.2 Payment Terms

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, based on your selection). All fees are non-refundable except as expressly stated in these Terms or required by law.

4.3 Free Trials

We may offer free trials at our discretion. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period. You will retain access to the Service until then.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to monitor brands or entities without proper authorization
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use automated means to access the Service beyond what we provide through our API
  • Transmit viruses, malware, or other malicious code
  • Harass, abuse, or harm others through use of the Service
  • Violate the intellectual property rights of Visiblie or any third party

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Visiblie and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6.2 Your Content

You retain ownership of any content, data, or materials you submit to the Service ("Your Content"). By using the Service, you grant us a worldwide, royalty-free license to use, process, and display Your Content solely to provide the Service to you.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to such processing.

8. AI Platform Data

Our Service monitors and analyzes publicly available AI-generated responses. We do not have access to private conversations on third-party AI platforms. The accuracy and availability of data from AI platforms may vary and is subject to the policies and changes of those platforms.

9. Google OAuth Integration

9.1 Optional Integration

The Service offers optional integration with Google Analytics and Google Search Console through Google OAuth. This integration is entirely voluntary and requires your explicit authorization through Google's OAuth consent flow.

9.2 Scope of Access

When you authorize the Google integration, we request read-only access to:

  • Your Google Analytics data (analytics.readonly)
  • Your Google Analytics user permissions (analytics.manage.users.readonly)
  • Your Google Search Console data (webmasters.readonly)
  • Basic profile information (userinfo.email, userinfo.profile, openid)

9.3 Use of Google Data

We use your Google data exclusively to provide our core Service functionality: creating a unified dashboard that combines your website analytics, search performance, and AI visibility metrics to deliver actionable insights and recommendations. We do not use your Google data for advertising, marketing to third parties, or any purpose unrelated to providing the Service to you.

9.4 Data Storage and Security

Your Google data is stored securely in accordance with our Privacy Policy and industry best practices. We implement appropriate technical and organizational measures to protect your data.

9.5 Disconnection

You can disconnect your Google account at any time through your account settings. Upon disconnection, we will immediately cease accessing your Google data, though previously retrieved data may be retained in accordance with our data retention policies as described in our Privacy Policy.

9.6 Google's Terms

Your use of Google services through our integration is also subject to Google's Terms of Service and Privacy Policy. We are not responsible for Google's policies or practices.

10. Third-Party Services

The Service may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of third-party services. Your use of such services is at your own risk.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any defects will be corrected
  • The Service will meet your specific requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIBLIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Visiblie, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your Content

14. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

15. Term and Termination

15.1 Term

These Terms remain in effect while you use the Service.

15.2 Termination by You

You may terminate your account at any time by contacting us or through your account settings.

15.3 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or Visiblie.

15.4 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and dispute resolution.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision shall be final and binding.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Visiblie regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
